Affiliate Terms and Conditions

Effective Date: March 24, 2025

These Affiliate Terms and Conditions (“Agreement”) govern participation in the affiliate program (“Program”) offered by
Pirate & Fox LLC, doing business as Stack (“Company”, “we”, or “us”), accessible via
https://stackapp.co. By registering or participating in the Program,
you (“Affiliate”, “you”) agree to be bound by this Agreement.

1. Eligibility

To participate in the Program, you must:

Be at least 18 years old;
Have a valid PayPal account for receiving payments;
Comply with all applicable laws and regulations.

We reserve the right to accept or reject any application at our sole discretion.

2. Commissions and Payments

Commission Structure: Affiliates earn commissions based on a percentage of qualifying sales. Exact commission rates may vary per offer and are detailed in your affiliate dashboard.
Recurring Revenue: Eligible commissions are paid on a recurring basis for as long as the referred customer remains active, subject to offer terms.
Payout Schedule: Payments are issued monthly on a Net-30 basis (30 days after the end of the month in which a sale occurs).
Minimum Threshold: The minimum payout amount is $50 USD. Balances under this amount will roll over to the next pay cycle.
Payment Method: Commissions are paid via PayPal only. It is your responsibility to provide accurate payment details.
Refunds & Chargebacks: If a referred customer cancels or is refunded, any commissions earned on that transaction may be reversed.

3. Tracking and Attribution

We use the GoHighLevel affiliate platform to track referrals. You must use your unique affiliate links provided within the dashboard. Commissions are credited based on:

A 90-day cookie window from the time of first click;
Successful completion of a tracked transaction.

4. Prohibited Conduct

The following activities are strictly prohibited and grounds for immediate termination from the Program and forfeiture of commissions:

Promoting using spam, unsolicited emails, or deceptive marketing;
Driving traffic from adult content, hate speech, or illegal content;
Engaging in cookie stuffing, click fraud, or other manipulative practices;
Violating the intellectual property rights of the Company or any third party;
Bidding on brand terms (e.g., “Stack CRM”) in paid search or misleading ad placements;
Misrepresenting Stack’s offerings or pretending to be Stack.

We reserve the right to investigate and take appropriate action in the event of suspected violations.

5. Use of Brand Assets

Affiliates may only use official brand assets (logos, images, copy, etc.) provided in the affiliate dashboard or otherwise explicitly approved in writing. Unauthorized use or modification of materials is not allowed.

6. Self-Referrals

Affiliates are permitted to earn commissions on their own purchases unless otherwise restricted by a specific promotion or campaign.

7. Disclosures and Compliance

Affiliates must comply with all applicable advertising regulations, including the Federal Trade Commission (FTC) guidelines requiring disclosure of affiliate relationships. You must clearly and conspicuously disclose that you may receive a commission when promoting our services.

8. Term and Termination

This Agreement begins upon acceptance into the Program and remains in effect until terminated by either party.

We reserve the right to:

Terminate your participation at any time, with or without cause;
Withhold or cancel unpaid commissions in cases of fraud or violation of this Agreement.

You may also leave the Program at any time by notifying us in writing.

9. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages (including lost profits or revenue) arising from participation in the Program. We make no guarantees regarding the performance or availability of tracking systems or payouts beyond our control.

10. Modification

We may update or modify this Agreement at any time. Continued participation in the Program after notice of such changes constitutes acceptance of the revised terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Puerto Rico, without regard to its conflict of laws principles.
